Terms of Service
These Terms of Service ("Terms") govern your access to and use of Listnexa (https://listnexa.com), operated by Cinevzn Media ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
1. The Service
Listnexa is a software platform that helps real estate professionals manage listings, marketing, leads, seller updates, property websites, and related workflows. The Service may include subscription plans, AI-assisted features, and integrations with third parties such as Stripe for billing.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate account and organization information and to keep it up to date.
3. Subscriptions and billing
- Paid plans are billed on a recurring monthly basis through Stripe unless otherwise stated at checkout.
- Plan limits (such as active listing counts) apply as described on the billing page and in your account.
- You authorize us and Stripe to charge your payment method for applicable fees, taxes, and renewals.
- You may cancel through the Stripe customer portal. Cancellation typically takes effect at the end of the current billing period unless stated otherwise.
- Fees are non-refundable except where required by law or explicitly stated by us in writing.
- We may change pricing or plan features with reasonable notice. Continued use after a price change constitutes acceptance unless you cancel before the change takes effect.
4. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes
- Violate applicable real estate, advertising, fair housing, privacy, or anti-spam laws
- Upload malware, attempt unauthorized access, or interfere with the Service
- Scrape, reverse engineer, or resell the Service except as permitted by law
- Misrepresent your identity, licensing status, or affiliation
- Use the Service to send unsolicited communications in violation of applicable law
5. Your content
You retain ownership of content you submit, including listing data, photos, leads, and marketing materials ("Customer Content"). You grant us a non-exclusive, worldwide license to host, store, reproduce, display, and process Customer Content solely to operate, provide, and improve the Service — including publishing property websites and seller portals you enable.
You represent that you have all rights necessary to submit Customer Content and that it does not infringe third-party rights or violate law. You are solely responsible for Customer Content and for obtaining consents from sellers, buyers, and other individuals whose information you upload or share.
6. Public property sites and seller portals
When you publish a property website or share a seller portal link, you control what information is made available to visitors or sellers. You are responsible for ensuring disclosures, permissions, and marketing practices comply with applicable brokerage policies and regulations.
7. AI features
AI-generated content is provided for assistance only. You are responsible for reviewing, editing, and approving all outputs before use. AI features may produce inaccurate or incomplete results. We do not guarantee that AI outputs are suitable for MLS submission, legal documents, or client communications without human review.
8. Third-party services
The Service integrates with third parties (including Stripe, cloud infrastructure, storage, mapping, and AI providers). Your use of those services may be subject to their separate terms and privacy policies. We are not responsible for third-party services outside our reasonable control.
9. No professional advice
The Service does not provide legal, tax, brokerage, or financial advice. Listnexa is a software tool only. You are solely responsible for your real estate activities, compliance obligations, and client relationships.
10. Availability and changes
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice when practical.
11. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, or if continued provision poses risk to the Service or others. Upon termination, your right to use the Service ends, but sections that by their nature should survive will remain in effect.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CINEVZN MEDIA AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE NOT PAID FEES.
14. Indemnification
You agree to defend, indemnify, and hold harmless Cinevzn Media and its affiliates from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Content, or your violation of these Terms or applicable law.
15. Governing law
These Terms are governed by the laws of the United States and the state in which Cinevzn Media is organized, without regard to conflict-of-law principles. Exclusive jurisdiction for disputes will lie in the courts located in that state, unless applicable law requires otherwise.
16. Changes to these Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the effective date. Material changes may also be communicated by email or in-product notice. Continued use after changes become effective constitutes acceptance.
